Terms of Service

1. General Provisions

Welcome to Clipia.ai — a platform for creating AI-generated images and videos. These Terms of Service ("Agreement") govern your use of the Clipia.ai service ("Service", "Platform"). The Operator is Zakharov Maksim Sergeevich, Individual Entrepreneur registered in the Russian Federation (OGRNIP 324366800070377, INN 361608356714, registered on 19 July 2024, registered address: 396336, Voronezh Oblast, Russian Federation).

By using the Service, you confirm that you have read, understood, and agree to comply with this Agreement, our Privacy Policy, the Cross-Border Data Transfer Policy, and the Acceptable Use Policy.

2. Age Restrictions

The Service is intended for users aged 18 and older. Individuals between the ages of 13 and 18 may use the Service only with the consent of a parent or legal guardian.

We reserve the right to request age verification at any time.

3. Registration and Account

• You agree to provide accurate information when registering
• You are responsible for maintaining the security of your account credentials
• Sharing account access with third parties is prohibited
• We reserve the right to suspend or delete your account for violations of these terms

4. Content Rights

4.1. Your Content

You retain the rights to your prompts and ideas. AI-generated content is licensed to you according to the terms of your selected subscription plan.

4.2. Use of Likenesses

When using facial images in generation, you warrant that:

• The image is of yourself, or
• You have obtained explicit consent from the depicted individual
• The use does not infringe upon the rights of any third party

5. Prohibited Content

The following content is strictly prohibited:

• 🚫 Any sexual content involving minors (CSAM)
• 🚫 Content depicting sexual violence
• 🚫 Extreme violence, gore, or dismemberment
• 🚫 Zoophilia
• 🚫 Content related to terrorism and extremism
• 🚫 Deepfakes without the consent of depicted individuals
• 🚫 Hate speech and content inciting hatred

5A. Probabilistic Nature of AI Generation

You understand and agree that generation results are produced using probabilistic machine-learning algorithms. Identical inputs (prompt, reference files, parameters) may produce different results on each run.

The Service does not guarantee and cannot guarantee:

• Any specific artistic, stylistic, or technical result
• An exact match between the result and your expectations
• Identity with, or degree of similarity to, uploaded references
• The absence of artefacts or distortions characteristic of AI generation
• Stable AI-model behaviour between versions and updates

You confirm you are aware of the nature of the technology and accept these limitations before using the Service.

5B. Grounds and Non-Grounds for Refund

Grounds for a refund or credit compensation:

• The generation was not performed (timeout, model refusal, technical error)
• The result was not delivered (corrupted file, CDN error)
• Double charge of credits or funds for a single operation
• Charge of credits with no service provided

Subjective assessments are NOT grounds for refund:

• "not the right style", "not the right light", "awkward angle"
• "insufficient similarity" to a reference or a prototype
• "not the right mood", "not the right vibe", "unnatural movements"
• "not the right voice", "not the right timbre", "not the right pacing" (for audio / talking-head models)
• Mismatch with expectations formed by marketing materials
• Low aesthetic assessment by the User
• Inability to use the result in a specific project of the User

The list is non-exhaustive; subjective claims similar in nature are also not recognised as grounds for refund. The first successfully executed generation marks the commencement of the service, after which refunds for a subscription or a one-time package due to withdrawal from the service are not issued, except on the grounds listed in the first list above.

The Service may, but is not obligated to, grant goodwill compensation in the form of additional credits on a case-by-case basis.

6. Moderation System

All requests and generated results undergo automatic moderation. We use:

• AI-based moderation of text prompts
• Visual moderation of generated content
• A Trust Score system for user evaluation

Violations may result in temporary or permanent suspension of your account.

7. Payment and Credits

• Credits are used to pay for generations
• Unused credits are non-refundable
• Prices may change with prior notice
• Refunds are processed in accordance with applicable law

8. Limitation of Liability

The Service is provided "as is" and "as available" without any warranties, express or implied.

8.1. Disclaimer of warranties

We do not warrant:

• Uninterrupted operation of the Service or the absence of technical failures
• The fit of generation results with your expectations (see §5A)
• Fitness of results for any specific commercial purpose
• Continuous availability of third-party AI models used by the Service
• Preservation of your content beyond the stated retention periods

8.2. Aggregate liability cap

To the maximum extent permitted by applicable law, the aggregate liability of the Service for any claims by the User (contractual, tortious, or any other grounds; actual damages, lost profits, moral damages, costs of reinstating rights) is limited to the amount actually paid by the User for the Service during the three (3) calendar months immediately preceding the date on which the claim arose.

Bonus, welcome, and promotional credits are not included in the cap calculation. If no payments were made in the preceding three calendar months, the aggregate liability of the Service is limited to zero, except for the cases in §8.4.

8.3. Exclusions

We are not liable for:

• Indirect, incidental, or punitive damages
• Lost profits of the User or third parties
• Data loss (except in cases of gross negligence by the Service)
• Acts of third parties (AI model providers, payment systems, CDN providers)
• Quality of generation results (see §5A on the probabilistic nature of AI)
• The commercial success or failure of the User's projects
• Third-party claims against the User arising from generated content

8.4. Cases where the cap does not apply

The limitation under §8.2 does not apply where applicable law expressly prohibits such limitation, in particular: for wilful misconduct, for gross negligence resulting in harm to life or health, and in other cases expressly provided by law.

8.5. Period for bringing claims

Any claims must be brought within one (1) year of the date on which the grounds for the claim arose. Beyond that period the right to bring a claim lapses.

9. Changes to the Agreement

We may modify this Agreement. We will notify you of material changes via email or through the Service interface no less than 30 days before the changes take effect.
